Terms of Use

These Terms of Use ('Terms') constitute a legally binding agreement between you ('User,' 'you,' or 'your') and TechHouseCa Inc. ('TechHouseCa,' 'we,' 'our,' or 'us'), a corporation incorporated under the laws of British Columbia, Canada.

By accessing or using the Vectro website (vectro.ca), any Vectro subdomain application (including but not limited to queue.vectro.ca, apron.vectro.ca, command.vectro.ca, and all other subdomains operated by TechHouseCa), or any Vectro Platform services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue use of all Vectro properties and services.

If you are accessing the Vectro Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

"Vectro" refers to the Vectro Airport Operating System brand, including all associated software modules, platform services, websites, subdomain applications, and intellectual property.

"TechHouseCa Inc." refers to the corporation that develops, owns, and operates the Vectro Platform, incorporated under the laws of British Columbia, Canada.

"Platform" or "Vectro Platform" means the suite of integrated software modules and cloud-based services developed and operated by TechHouseCa under the Vectro brand, including all 18 modules (Vectro Boards, Queue, Sizer, Watch, Atlas, Vortex, Command, Vault, Apron, Flow, Access, Shield, Works, Cast, Log, Gauge, Allocate, and Curb) and any future additions.

"Services" means the software-as-a-service, managed services, consulting, and support services provided by TechHouseCa under the Vectro brand.

"User" means any individual who accesses or uses any Vectro property, including the marketing website, Platform applications, or any subdomain.

"Customer" means any airport operator, aviation organization, or enterprise entity that has entered into a service agreement with TechHouseCa for the deployment of Vectro Platform services.

"Content" means all text, graphics, logos, images, software, data, and other material published on or available through Vectro properties.

These Terms apply to your use of:

(a) The Vectro marketing website at vectro.ca and all associated pages;

(b) All Vectro subdomain applications operated by TechHouseCa (including queue.vectro.ca, apron.vectro.ca, command.vectro.ca, boards.vectro.ca, and all future subdomain deployments);

(c) Any Vectro Platform application, module, or service you access as an authorized user; and

(d) Any communications or interactions with TechHouseCa through Vectro properties.

These Terms supplement, but do not replace, any master service agreement, data processing agreement, or other contract entered into between TechHouseCa and a Customer. In the event of a conflict between these Terms and a master service agreement, the master service agreement shall govern with respect to the Platform services covered by that agreement.

Access to and use of the Vectro Platform (including deployment of any Vectro modules at an airport or facility) is governed by a separate master service agreement or enterprise service agreement between TechHouseCa and the Customer.

The master service agreement supersedes these Terms of Use with respect to all matters relating to Platform features, service levels, data ownership, commercial terms, support, and any other Platform-specific provisions.

These Terms of Use apply primarily to your use of the Vectro marketing website and to general access to Platform applications as an authorized user of a Customer account.

If you are a Customer or prospective Customer interested in deploying the Vectro Platform, please contact TechHouseCa at info@techhouseca.com to discuss a service agreement appropriate to your needs.

All intellectual property rights in the Vectro Platform, website, and associated materials are owned exclusively by TechHouseCa Inc. and are protected by Canadian and international intellectual property laws.

Protected intellectual property includes, without limitation:

The 'Vectro' name and brand, the Vectro radar mark (logo), all taglines and marketing copy;

The names and marks of all 18 Vectro modules: Vectro Boards, Vectro Queue, Vectro Sizer, Vectro Watch, Vectro Atlas, Vectro Vortex, Vectro Command, Vectro Vault, Vectro Apron, Vectro Flow, Vectro Access, Vectro Shield, Vectro Works, Vectro Cast, Vectro Log, Vectro Gauge, Vectro Allocate, and Vectro Curb;

All software code, algorithms, architecture, interfaces, APIs, and platform design;

All visual design elements, graphics, typography choices, and user interface layouts.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, republish, or exploit any Vectro intellectual property without the prior written consent of TechHouseCa.

Nothing in these Terms grants you any license or right to use any TechHouseCa trademark, trade name, or logo.

You are responsible for the security of your Vectro account credentials. You must use a strong, unique password and must not share your credentials with any other person.

Where multi-factor authentication (MFA) is available or required on a Vectro Platform application, you agree to enable and maintain MFA on your account.

You must promptly notify TechHouseCa at info@techhouseca.com if you become aware of any unauthorized use of your account, any security breach, or any other compromise of your credentials.

TechHouseCa will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

TechHouseCa reserves the right to suspend or terminate accounts that show signs of unauthorized access or security compromise.

In addition to the prohibited conduct listed in Section 4, the following is strictly prohibited:

Reverse engineering, decompiling, disassembling, or otherwise attempting to derive source code from any Vectro Platform software or application.

Circumventing, disabling, or otherwise interfering with any security feature, access control, authentication mechanism, or technical measure implemented in the Vectro Platform.

Using the Vectro Platform in a manner that could damage, overload, impair, or compromise the infrastructure, data integrity, or availability of the Platform or any connected systems.

Attempting to probe, scan, test, or exploit vulnerabilities in the Vectro Platform or TechHouseCa infrastructure without explicit written authorization (see our Security page for responsible disclosure).

Introducing viruses, malware, ransomware, or any other malicious code into the Vectro Platform.

Using Vectro services to process, store, or transmit data in violation of any applicable law, including aviation safety regulations, export control laws, or privacy legislation.

Impersonating TechHouseCa, Vectro, any Customer, or any other person or entity in connection with use of Vectro services.

The Vectro Platform may integrate with, connect to, or display information from third-party systems and services, including airline departure control systems (DCS), air traffic control data feeds, airport operational databases (AODB), baggage handling systems (BHS), PRM systems, IoT device platforms, and cloud infrastructure providers.

TechHouseCa does not control and is not responsible for the content, accuracy, or practices of third-party services or systems.

Your use of any third-party services integrated with the Vectro Platform is subject to the applicable terms and privacy policies of those third parties.

TechHouseCa makes no warranties regarding the availability, accuracy, or performance of third-party integrations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE VECTRO PLATFORM, WEBSITE, AND ALL SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TECHHOUESCA EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TECHHOUESCA DOES NOT WARRANT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

No advice or information, whether oral or written, obtained from TechHouseCa or through the Vectro Platform shall create any warranty not expressly stated in these Terms or a master service agreement.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHHOUESCA INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE VECTRO PROPERTIES OR SERVICES.

IN JURISDICTIONS WHERE LIMITATION OF CONSEQUENTIAL DAMAGES IS NOT PERMITTED, TECHHOUESCA'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

TECHHOUESCA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO TECHHOUESCA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

These limitations apply regardless of the legal theory on which such claims are based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if TechHouseCa has been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless TechHouseCa Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

(a) Your violation of these Terms;

(b) Your use of the Vectro Platform or website in a manner not authorized by these Terms;

(c) Your violation of any applicable law or regulation; or

(d) Your infringement of any third-party rights, including intellectual property rights or privacy rights.

TechHouseCa reserves the right to suspend or terminate your access to any Vectro property or service at any time, with or without notice, for any reason, including if TechHouseCa reasonably believes you have violated these Terms or any applicable law.

Upon termination, your right to access and use Vectro properties and services will immediately cease.

Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law — shall survive termination.

If you are a Customer, termination of Platform services is governed by the applicable master service agreement.

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of British Columbia, Canada, and you consent to the personal jurisdiction and venue of those courts.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Vectro Platform, the parties agree to first attempt to resolve the matter through good-faith negotiation.

Either party may initiate negotiations by providing written notice to the other party describing the nature of the dispute and the resolution sought. The parties agree to negotiate in good faith for a period of thirty (30) days following such notice.

If the dispute is not resolved through negotiation within the thirty-day period, either party may pursue resolution through the courts of British Columbia as set forth in Section 14.

Nothing in this Section prevents either party from seeking urgent or interim injunctive relief from a court of competent jurisdiction where necessary to protect its rights.

TechHouseCa reserves the right to update or modify these Terms at any time. When we make material changes, we will update the 'Effective Date' at the top of these Terms.

For Customers with active service agreements, TechHouseCa will provide reasonable notice of material changes to these Terms via email or in-Platform notice.

Your continued use of Vectro properties or services after the effective date of any updated Terms constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically.
